We provide website design/development and IT consulting/support services. Project scope, deliverables, and timelines are defined in proposals or statements of work.
2. Quotes, Payments & Invoices
Pricing and payment terms are specified in our proposals. Invoices are due as stated. Late payments may delay delivery or incur fees.
3. Client Responsibilities
- Provide timely access to information, systems, and approvals needed to deliver services.
- Ensure you have the rights to materials (e.g., logos, content, data) you supply.
4. Intellectual Property
Unless otherwise agreed, we retain ownership of our pre-existing IP, tools, and methods. Upon full payment, you receive a license or ownership to the final deliverables as defined in the project agreement.
5. Acceptable Use
You agree not to misuse our website or services, including by attempting unauthorized access, disrupting systems, or using them for unlawful purposes.
6. Third-Party Services
We may integrate or recommend third-party tools/services. Their terms and privacy policies apply to your use of those services.
7. Confidentiality
Each party agrees to keep confidential information received from the other party secure and use it only for the purpose of delivering or receiving services.
8. Warranties & Disclaimers
Services are provided “as is”. We disclaim warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Liability
To the maximum extent permitted by law, Girox LLC is not liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability is limited to the amount paid for the services giving rise to the claim.
10. Termination
Either party may terminate a project or ongoing services for material breach with written notice and an opportunity to cure, or as otherwise outlined in the project agreement.
11. Governing Law
These Terms are governed by the laws of your local jurisdiction, without regard to conflict of law principles.
12. Changes to Terms
We may update these Terms from time to time. Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.
